These Terms and Conditions (Terms) govern the purchase of, access to and use of the online courses and related products and services made available by Koalaty Music Limited, company registration number 3187731 (Koalaty Music, we, us or our), through www.koalatymusic.com and any related website, application or platform operated by us (together, the Website).
Please read these Terms carefully before purchasing or using any Service. By placing an order, creating an Account, clicking to accept these Terms, or accessing or using a Service, you agree to be bound by these Terms. If you purchase or manage a Service for a child, you accept these Terms for yourself and, to the extent permitted by law, on the child’s behalf. If you do not agree, do not purchase, access or use the Services.
You may contact us at info@koalatymusic.com. Our registered office and business address are: Room 1103, 11th Floor, Shanghai Industrial Investment Building, 48-62 Hennessy Road, Wanchai, Hong Kong.
1.1 In these Terms:
“Account” means an account registered on the Website for the purchase of or access to a Service.
“Child” means a person under 18 years of age.
“Content” means all lessons, videos, recordings, music, audio, text, graphics, animations, characters, artwork, exercises, questions, software, downloads and other material made available through the Services.
“Course” means an online, pre-recorded educational programme and its associated Content made available through the Website.
“Fees” means all amounts payable for a Service, including any applicable taxes expressly shown at checkout.
“Parent” means a parent, legal guardian or other adult who has legal authority and responsibility for a Child.
“Service” means a Course and any related digital product, subscription, feature or service offered by Koalaty Music.
“Submission” means any recording, image, comment, message, response, file or other material submitted or uploaded by or on behalf of a user through the Services.
“you or your” means the adult who purchases, registers for, manages or uses a Service and, where the context requires, the Child for whom that adult acts.
1.2 Headings are for convenience only. Words including “including” or “for example” do not limit the words that precede them. A reference to a law includes that law as amended or replaced from time to time.
2.1 You must be at least 18 years old and have legal capacity to enter into a contract to purchase a Service or register an Account.
2.2 A Child may use a Service only under the supervision and responsibility of a Parent. Unless we expressly permit otherwise, an Account for a Child must be created, purchased and managed by the Parent.
2.3 By purchasing or managing a Service for a Child, you confirm that you are the Child’s Parent or otherwise have lawful authority to act for the Child; you consent to the Child’s use of the Service; you will supervise that use; and you will ensure compliance with these Terms.
2.4 You must provide accurate, current and complete registration and purchase information, keep it updated, maintain the confidentiality of Account credentials, and notify us promptly at info@koalatymusic.com if you become aware of unauthorised access or use.
2.5 You are responsible for activity carried out through your Account except to the extent caused by our breach of duty or a matter for which liability cannot lawfully be excluded.
3.1 The Courses are online, pre-recorded educational programmes. The description, included materials, technical requirements, price, access period and any specific restrictions for a Service will be stated on the relevant Website page or at checkout. The access period for each Course is 18 months.
3.2 Subject to payment of the applicable Fees and compliance with these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence during the applicable access period to access and use the relevant Service and Content solely for private, non-commercial educational use by you or your Child.
3.3 Unless the relevant product description expressly states otherwise, access is limited to one individual Account and one household. You must not share credentials with anyone outside the permitted household, transfer access, or permit another person to use the Service under your Account.
3.4 All rights not expressly granted under these Terms are reserved by Koalaty Music and its licensors. No ownership right in the Services or Content is transferred to you.
3.5 You are responsible for having a compatible device, supported web browser and reliable internet connection. Specific technical requirements will be stated on the Website where applicable.
4.1 The Fees and billing currency are those displayed on the Website at the time you place the order. Fees include applicable taxes only where the Website expressly states that they are included.
4.2 You must review the order details before submitting payment. An order is accepted, and a contract is formed, when we send an order confirmation or enable access to the relevant Service, whichever occurs first. We may reject an order before acceptance, including where the Service is unavailable or the displayed price or description contains an obvious error.
4.3 You must provide accurate and complete payment information and confirm that you are authorised to use the selected payment method. Payments may be processed by a third-party payment service provider. The provider’s identity and applicable terms are Stripe.
4.4 If payment is declined, reversed, charged back or not successfully completed, we may withhold, suspend or terminate access after giving reasonable notice where practicable. This does not affect any accrued payment obligation or mandatory right.
4.5 You are responsible for charges imposed by your bank or payment provider, including currency conversion or overseas transaction fees, unless applicable law requires otherwise.
5.1 Because Courses are digital content made available for access shortly after purchase, refunds and cancellations are generally unavailable once access has been granted, except as stated in these Terms or required by applicable law.
5.2 By completing a purchase, you request access to the Course in accordance with the delivery timing stated at checkout and acknowledge the refund and cancellation position disclosed before payment. No wording in these Terms removes a right or remedy that cannot lawfully be excluded.
5.3 If we do not provide the purchased access, or a material technical fault within our reasonable control prevents use of the Course, you should contact info@koalatymusic.com. We will investigate and, where appropriate, restore access, provide a replacement or other reasonable remedy, or issue a refund to the extent required by law or agreed by us.
6.1 You must use the Services lawfully, safely and only for the purpose permitted by these Terms.
6.2 You must not, and must not assist another person to:
• copy, reproduce, republish, distribute, broadcast, publicly perform, display or share any Content except where a feature of the Service expressly permits it;
• record, download, extract or store video, audio or other Content except through an authorised feature and within the limits stated for that feature;
• sell, sublicense, rent, transfer or commercially exploit a Service or Content;
• use Content for commercial teaching, public performance, dataset creation, artificial-intelligence or machine-learning training, or development of a competing product without our prior written permission;
• modify, translate, reverse engineer, decompile, disassemble or create derivative works from any Service, except to the limited extent a restriction is prohibited by law;
• use a bot, crawler, scraper or other automated means to access, monitor, copy or extract data or Content;
• bypass or interfere with security, access controls, usage limits or digital rights management;
• introduce malware or harmful code, test vulnerabilities without permission, disrupt the Website, or gain unauthorised access to an Account or system;
• use the Services in a way that infringes another person’s rights, is unlawful, fraudulent, abusive or harmful, or exposes a Child to inappropriate contact or content; or
• misrepresent your identity or authority, or use another person’s payment information or Account without permission.
6.3 We may take proportionate steps to investigate suspected misuse and protect the Services, users and our rights, subject to applicable law and our Privacy Policy.
7.1 The Services and Content, including all videos, text, graphics, animations, lessons, questions, music, audio, characters, artwork, software, trademarks, logos and branding, are owned by or licensed to Koalaty Music and are protected by the Copyright Ordinance (Cap. 528) and other applicable intellectual property laws.
7.2 Koalaty Music, its logo, characters and associated branding may not be used without our prior written permission. Nothing in these Terms grants a right to use any trade mark, business name or logo.
7.3 If you believe material on the Website infringes your intellectual property rights, send a notice to info@koalatymusic.com identifying the work, the allegedly infringing material, its location, your contact details and the basis of your claim.
8.1 We will use reasonable efforts to make the Services available, but uninterrupted or error-free access is not guaranteed. Access may be affected by maintenance, updates, internet conditions, device compatibility, third-party providers, security incidents or events beyond our reasonable control.
8.2 We may make reasonable updates to a Service to maintain security, correct errors, improve functionality or keep Content current. We will not materially reduce the core paid Service during the promised access period without a legitimate reason and an appropriate remedy, subject to applicable law.
8.3 Temporary unavailability does not automatically entitle you to a refund. This does not limit a mandatory remedy or your rights under clause 6.3 where a material failure is not resolved within a reasonable time.
8.4 We may discontinue a Service. Where discontinuation materially affects prepaid access, we will give reasonable notice where practicable and provide continued access, an appropriate replacement, a proportionate refund or another remedy as required by law or reasonably determined in the circumstances.
9.1 The Services may rely on or link to payment providers, hosting services, video platforms or other third-party services. Third-party services are governed by their own terms and privacy practices.
9.2 We are not responsible for third-party content or services that we do not control. This does not exclude responsibility that cannot lawfully be excluded, including responsibility for how we select or use a processor where applicable.
10.1 We process personal data in accordance with our Privacy Policy and applicable data-protection requirements, including the Personal Data (Privacy) Ordinance (Cap. 486) where it applies. The Privacy Policy forms part of the information governing use of the Services but does not reduce any right provided by law.
10.2 Where a Parent provides information about a Child, the Parent confirms having lawful authority to do so. We will request only information reasonably necessary for the stated purposes. Details of the data collected, purposes, retention, disclosures, security, cookies, rights and contact arrangements must be set out in the Privacy Policy and any collection notice presented at the relevant point.
11.1 You may stop using a Service at any time. Stopping use does not itself create a refund right. Account-deletion and data-deletion processes subject to legal retention requirements.
11.2 We may suspend or restrict access where reasonably necessary because: payment has failed; we reasonably suspect fraud, unauthorised sharing or a security threat; you materially or repeatedly breach these Terms; your use infringes rights or risks harm; or suspension is required by law or a service provider on whom the Service depends.
11.3 Except where urgent action is reasonably necessary, we will provide notice and a reasonable opportunity to remedy a remediable breach before termination. We may terminate immediately for a serious breach, fraud, deliberate infringement, unlawful conduct or an immediate safety or security risk.
11.4 On termination, the licence granted under clause 3 ends and you must stop accessing and using the affected Service and Content. Clauses intended by their nature to survive, including intellectual property, accrued payment obligations, liability, indemnity, disputes and general provisions, continue to apply.
11.5 If we terminate without your breach and this materially deprives you of prepaid access, we will provide an appropriate remedy, subject to applicable law.
12.1 The Services are provided for general educational purposes and do not constitute professional, medical, therapeutic or other regulated advice.
12.2 Learning outcomes depend on individual circumstances, practice, supervision, equipment and other factors. We do not guarantee any particular grade, qualification, skill level, examination result or other outcome.
12.3 While we aim to provide accurate and current Content, we do not warrant that every item is complete, error-free or suitable for every learner. A Parent remains responsible for assessing suitability for the Child and supervising use.
13.1 Nothing in these Terms excludes, restricts or modifies a right, guarantee, condition, warranty or remedy that cannot lawfully be excluded or restricted.
13.2 Subject to clause 15.1 and to the maximum extent permitted by law, the Services are provided on an “as available” basis and we exclude implied terms not expressly stated in these Terms. This exclusion does not apply where prohibited by applicable law.
13.3 Descriptions and marketing statements about the Services must be read together with the relevant product page, limitations and these Terms. We do not exclude responsibility for a statement that applicable law does not permit us to disclaim.
14.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded or limited.
14.2 Subject to clause 16.1 and to the maximum extent permitted by law, our total aggregate liability arising out of or in connection with a Service or these Terms will not exceed the total Fees paid by you for the Service giving rise to the claim. If the claim relates to a subscription, the cap will be the Fees paid for that subscription during the 12 months immediately before the event giving rise to the claim.
14.3 Subject to clause 16.1 and to the maximum extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business opportunity, goodwill or data, where such loss was not reasonably foreseeable when the contract was formed.
14.4 We are not responsible for loss caused by your failure to follow reasonable instructions, maintain Account security, use compatible equipment or maintain an internet connection, except to the extent the loss is caused by our breach or cannot lawfully be excluded.
14.5 The limitations in this clause apply only to the extent fair, reasonable and enforceable under the law applicable to the relevant transaction.
15.1 To the extent permitted by law, you will indemnify Koalaty Music against third-party claims, losses and reasonable costs arising directly from your deliberate or negligent unlawful use of the Services, your infringement of a third party’s intellectual property or privacy rights through a Submission, or your material breach of clauses 7 or 9.
15.2 This indemnity does not apply to the extent a claim is caused by our breach, negligence or unlawful conduct. We will give reasonable notice of a claim and allow you a reasonable opportunity to participate in its defence, provided that we may control the defence where our interests are materially affected.
16.1 If you have a complaint about a purchase or Service, contact info@koalatymusic.com with your Account or order details and a description of the issue.
16.2 The parties should first attempt in good faith to resolve a dispute through the complaint process. Nothing in this clause prevents either party from seeking urgent interim relief or using any complaint, enforcement or dispute mechanism available by law.
17.1 These Terms and any non-contractual obligations arising from them are governed by the laws of the Hong Kong Special Administrative Region.
17.2 Subject to any mandatory consumer right to bring proceedings elsewhere, the courts of Hong Kong have exclusive jurisdiction over disputes arising out of or in connection with these Terms or the Services.
18.1 We may update these Terms for legal, regulatory, security, operational or service-related reasons. The updated version will be posted on the Website with a revised “Last Updated” date.
18.2 Where a change is material and affects an existing paid Service, we will give reasonable advance notice by email, the Website or the Account where practicable. The notice will describe the change and its effective date.
18.3 A change will not retrospectively remove accrued rights or materially reduce prepaid access without an appropriate basis and remedy. If a material change requires your consent under applicable law, we will obtain it. Otherwise, continued use after the effective date constitutes acceptance, provided that the change and this consequence have been clearly notified.
19.1 We may send notices to the email address associated with your Account or display them prominently on the Website or within the Account. You must keep your contact details current.
19.2 Notices to Koalaty Music must be sent to info@koalatymusic.com or to the following postal address Room 1103, 11th Floor, Shanghai Industrial Investment Building, 48-62 Hennessy Road, Wanchai, Hong Kong.
20.1 We are not responsible for delay or failure caused by an event beyond our reasonable control, including major telecommunications or hosting failure, natural disaster, epidemic, governmental action, labour disruption, cyberattack or widespread power outage, provided that we take reasonable steps to mitigate the effect and resume performance.
20.2 If such an event materially prevents provision of a prepaid Service for an extended period, the parties’ rights and any appropriate remedy will be determined in accordance with applicable law and the circumstances.
21.1 These Terms, the applicable product description, the order confirmation, the Privacy Policy and any policy expressly incorporated at checkout form the entire agreement concerning the purchased Service. If they conflict, the order of precedence is: the order confirmation; the product-specific terms disclosed at checkout; these Terms; and other incorporated policies, unless mandatory law requires otherwise.
21.2 If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, or severed if modification is not possible. The remaining provisions continue in force.
21.3 A failure or delay in exercising a right is not a waiver. A waiver is effective only if in writing and applies only to the specific circumstances for which it is given.
21.4 You may not assign or transfer your rights or obligations without our prior written consent. We may assign these Terms as part of a genuine reorganisation, sale or transfer of the relevant business, provided this does not materially reduce your rights. We will notify you where required by law.
21.5 No person other than you and Koalaty Music has a right to enforce these Terms under the Contracts (Rights of Third Parties) Ordinance (Cap. 623), except that Koalaty Music’s licensors may enforce provisions expressly protecting their intellectual property.
21.6 These Terms may be published in more than one language. The controlling language and approach to inconsistencies are English, subject to applicable law and the need for translations to be accurate and not misleading.
21.7 Electronic acceptance and communications satisfy any requirement for writing to the extent permitted by law.
